ARTICLE I – NAME
The name of this organization shall be known as “The Serra High School NJROTC Booster Club.”

ARTICLE II – PURPOSE AND VALUES

SECTION. 1. The purpose of the NJROTC Booster Club, as an educational charitable organization, is committed to actively support and promote the NJROTC Program at Serra High School and to aid in chaperoning NJROTC trips/activities as well as assist with special committees as deemed necessary.

SECTION. 2. This group acknowledges the authority of the school over the
NJROTC Program in general and does not make or interfere with school policy.

SECTION. 3. The NJROTC Booster Club values and encourages strong leadership and team-building qualities and attributes for the NJROTC students.

ARTICLE III – MEMBERSHIP

Eligibility: Any person sincerely interested in active participation to affect the purpose of this Club may apply to become a member. No person shall be denied membership or any rights of membership because of race, gender, religious beliefs, or ethnic background.

ARTICLE IV – EXECUTIVE BOARD OF DIRECTORS AND OFFICERS

SECTION. 1. The Executive Board of Directors shall manage all matters in the regular course of business of the NJROTC Booster Club. The Board shall consist of the following officers, elected from and by the general membership: President, Vice President, Secretary, Treasurer, School Representative, and Fund raising committee representative. The term of each office shall be two (2) years with the caveat to conduct annual elections preventing expiration of all positions in the same year or until their successors are duly elected and qualified. The term of office shall begin in September of each year.

SECTION. 2. Regular board meetings shall be held each month. Special Board meetings may be called upon the request of the President and two (2) Board members. All Board meetings shall be open to the public.

ARTICLE V – DUTIES OF THE OFFICERS AND EXECUTIVE BOARD

SECTION. 1. The President shall preside at all NJROTC Booster Club general and board meetings. Responsible for parent communications related to the schedule and requirements and he/she shall be responsible for appointing all committees.

SECTION. 2. The Vice President shall serve as liaison between the NJROTC Booster Club and the corresponding school representative. Also, the Vice President shall prepare a preliminary budget and shall assume the duties of the president as assigned and in the absence of the President.

SECTION. 3. The Secretary shall perform the following duties:

a. Keep records of all NJROTC Booster Club Board Proceedings and general meetings and prepare the agenda of such meetings.

b. Shall retain a current record of all NJROTC cadets.

c. Shall maintain a current record of NJROTC parents and the NJROTC Booster Club Membership

d. Keep on file all committee reports and maintain record books in which the By Laws, standing rules, policies, and minutes are entered, with any amendments to these documents properly reported;

e. Notify the members of all general meetings;

f. Prepare NJROTC Booster Club correspondence.

SECTION. 4. The Treasurer shall perform the following duties:

a. Receive and disburse all Booster Club funds.

b. Keep all NJROTC Booster Club monies deposited in a NJROTC Booster club account.

c. Prepare written monthly financial statements for the Executive Board and a written annual report at the end of the NJROTC Booster Club fiscal year.


SECTION. 5. The Fundraising Chairperson shall perform the following duties:

a. Form a committee to assist in development and planning of fundraising events.

b. Coordinate fundraising events and solicit volunteers.

c. Keep accurate records

SECTION.7. The Webmaster is responsible for updating and maintaining the booster website with accurate information, in conjunction with a school representative.


SECTION.8. The Executive Board shall be responsible for the following:

a. Manage the NJROTC Booster Club affairs and activities;

b. Maintain an open and positive communications channel with the Serra High School administration and other organizations, as appropriate;

c. Review and approve the NJROTC budget for recommendation to the general membership. In the event that fund-raising activities have not generated sufficient income to fully support the NJROTC budget, the Executive Board shall determine the amount to be assessed to each family to make up the difference.

d. Except for the budget and reimbursable items, no disbursements over $300.00 shall be made without authorization from the General Membership. The Executive Board may approve amounts of $300.00 or less. Disbursements shall be authorized by the Executive Board through approval of a “request for Check” form, which identifies the particulars of the disbursements. The President and Treasurer will sign checks for the NJROTC Booster Club.

e. In the event of an office vacancy appoint a replacement to hold office for the duration of the unexpired term.

f. Insure all NJROTC Booster Club activities are in conformance with the California Interscholastic Federation rules governing the NJROTC program.

SECTION. 6. Each Officer, upon his/her leaving office or the expiration of his/her term of office, shall turn over to his/her successor within one (1) week, all records pertaining to the office and all other materials belonging to the NJROTC Booster Club.

a. The Senior Naval Science Instructor, or his designee, shall serve as an ex officio member of the organization and serve in an advisory capacity to the Board of Directors.


ARTICLE VI – ORGANIZATION MEETINGS

SECTION. 1. The Executive Board shall schedule two regular general membership meetings each academic year. The general membership shall be notified of the meeting at least two weeks prior to the scheduled meeting.

SECTION. 2. The election of Officers shall be held at the general meeting. Nominations of each office may be made from the floor, with the nominee’s consent.


ARTICLE VII - COMMITTEES

SECTION. 1. A nominations’ committee shall be formed to solicit qualified candidates(s) for each office. A member’s consent must be obtained before nomination. The nomination’s list shall be completed and distributed to the membership prior to the general meeting.

SECTION. 2. A fund-raising committee shall be formed to plan, promote, organize, and manage fund-raising events and activities throughout the year.

SECTION. 3. Other NJROTC Booster Club committees shall be formed, as needed, to perform designated functions.

ARTICLE VIII – AMENDMENTS

These Bylaws may be amended at a NJROTC Booster Club meeting by a two-thirds vote of those in attendance, provided that the amendment has been submitted in writing at the previous general meeting, or has been distributed to all members no less than fourteen days (14) prior to the meeting at which the amendment shall be considered.

ARTICLE IX – PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order, Newly Revised, shall govern the NJROTC Booster Club in all cases to which they are applicable and which they are not inconsistent with these Bylaws and any special rules the NJROTC Booster Club may adopt.

ARTICLE X – DISSOLUTION

The property of the NJROTC Booster Club is irrevocably dedicated to support of the Serra High School NJROTC program and no part of the net income or assets of the NJROTC Booster Club shall ever be used for the benefits of any private individual. If dissolution, disbandment, inactivation, or other termination of the NJROTC Booster Club is deemed necessary by the general membership, the funds and properties of the NJROTC Booster Club, in excess of the liabilities, shall be distributed under Section 50-1©-3 of the Internal Revenue Code to Serra High School or any future corresponding provision.
